Fortive Corporation Tax Counsel, Global Tax Strategy in Portland, Oregon
The Role: Fortive Corporation has launched a national search for a new role, Tax Counsel, Global Tax Strategy. Reporting to the VP Tax, the incoming individual will have significant involvement in tax strategy; recommending and pursuing tax strategies that support the operational objectives and optimize the Company’s tax position.
Although responsibilities and expectations are highly technical in nature, a successful candidate will also have a well-developed business acumen and the interest and ability to drive strategic value under the Fortive Shared Purpose and Values. A successful candidate will be adaptable and effective working in a continuous improvement culture driven by the Fortive Business System. This position is ideally based in Everett, WA, but open to additional locations.
Essential Duties & Responsibilities: • Review and analyze draft tax legislation, tax regulations, court decisions and other guidance to advise management on changes which will impact the Company. • Supervise outside counsel and external advisers with respect to tax opinions or tax memoranda. • Perform proactive evaluation of evidence and provide advance optimization advice for major tax strategies and uncertain tax positions. • Become expert on 9th Circuit Court of Appeals tax precedent for purposes of the Tax Court’s Golsen Rule. • Provide FIN 48 ultimate resolution guidance for uncertain tax positions in conjunction with outside law firms as applicable. • Provide tax legal support and real-time advice to cross functional teams on global taxation matters, including M&A Tax Planning, Business Restructuring, Transfer Pricing, and U.S. International rules. • Provide tax legal advice and prepare tax memoranda on technical questions including, but not limited to M&A, Federal Accounting Methods, and International Tax Matters. Evaluate and recommend appropriate financial statement positions for uncertain tax positions. • Be a prolific reader of tax periodicals to understand industry trends, new tax strategies, potential tax risks and other current information to optimize the Company’s tax position. • Develop centralized governance and strategy for global tax controversy. • Engage directly with business partners, cross functional teams as well as external advisers to provide real time tax analysis and advice during major transactions. • Perform other duties and/or special projects as assigned.
Qualifications/Requirements: • JD (or equivalent certification), LL.M. in Taxation preferred. • 8-10 years of tax experience in major law firm, accounting firm, or multinational company. • 3 or more years of tax litigation experience with a major law firm. • Broad based knowledge of US tax rules (domestic and international).
Desired Characteristics: • Demonstrated ability to manage multiple priorities in a complex, fast paced environment. • Demonstrated ability to communicate complex tax issues, opportunities and risk to non-tax experts in a clear and concise manner. • Ability to lead and provide guidance when confronted with the continuing ambiguity caused by the significant gray areas in tax law. • Active learner and critical thinker with strong problem solving, organizational and time management skills. • Results-oriented, technically-curious, team player with strong written and oral communication skills. • The ability to balance a partnering approach with firm stance on ethics and statutory requirements. • Experience operating at a strategic level with demonstrated leadership skills and ability to lead virtual teams and advisors. • Readiness for occasional travel, including global travel as required. • Large corporate experience background preferred. • Legal authorization to work in the U.S. is required.
